Description	REX INDUSTRY BERHAD ("REX" OR THE "COMPANY") PROPOSED DISPOSAL OF REX CANNING CO. SDN BHD AND REX TRADING SDN BHD ("PROPOSED DISPOSAL")
The terms used herein, unless the context otherwise stated, bear the same meaning as those defined in the earlier announcement in relation to the Proposed Disposal. We refer to the earlier announcement dated 17 September 2025 in relation to the Proposed Disposal. On behalf of the Board, UOBKH wishes to announce that the Securities Commission Malaysia ("SC") had, vide its letter dated 15 October 2025, approved the application submitted by UOBKH on behalf of ETA Industries Sdn Bhd for the consent of the SC under Note 3 to Paragraph 18.01 of the Rules on Take-Overs, Mergers and Compulsory Acquisitions issued by the SC ("Rules") in relation to the Proposed Disposal ("Application"). The approval granted by the SC for the Application is subject to the following conditions:- i. The Independent Adviser to the Company for the Proposed Disposal states that in its opinion the terms of the Proposed Disposal are fair and reasonable; ii. The Proposed Disposal is approved at a general meeting of the shareholders of Rex. At this meeting, the vote must be a separate vote by the non-interested shareholders; and iii. UOBKH to furnish the SC with a written confirmation of compliance with the conditions of SC's approval once the conditions above are met. This announcement is dated 15 October 2025.
