Reference is made to the first announcement in relation to PN17 of the Listing Requirements made on 18 April 2025 (“First Announcement”) and subsequent monthly announcements made on 2 May 2025, 3 June 2025,1 July 2025, 1 August 2025 and 2 September 2025 (“the Monthly Announcements”) (“previous announcements”). Unless otherwise defined, all abbreviations and definitions used herein shall have the same meaning as defined in the previous announcements.
In addition to triggering Paragraph 2.1(f) of Practice Note 17 ("PN17") of the Main Market Listing Requirements of Bursa Malaysia Securities Berhad (“Listing Requirements”) based on the First Announcement, based on the Company’s quarterly results for the financial period ended 30 June 2025 announced on 29 August 2025, the Company has triggered another prescribed criteria under Paragraph 2.1 (a) of PN17 of the Listing Requirements by virtue of its shareholders' equity on a consolidated basis being less than 25% of the issued share capital of the Company and such shareholders’ equity is less than RM40 million.
The Company is in the process of formulating a plan to regularize its financial position (“Regularisation Plan”).
The Company will make the necessary announcement(s) on the Regularisation Plan in accordance with the requirements under the PN17 of the Listing Requirements.
