Collectively, the Proposed Regularisation Plan

We refer to the Company’s announcements dated 20 March 2025, 22 September 2025 and 23 September 2025 in relation to the Proposed Regularisation Plan. Unless otherwise stated, the terms used herein shall have the same meaning as defined in the said announcements.

 

On behalf of the Board, Maybank Investment Bank Berhad (“Maybank IB”) is pleased to announce that Bursa Securities has, vide its letter dated 6 January 2026, resolved to approve the Proposed Regularisation Plan comprising the Proposed Debt Settlement and the Proposed Capital Reduction.

 

The approval granted by Bursa Securities for the Proposed Regularisation Plan is subject to the following conditions:

  1. IWCity and Maybank IB must fully comply with the relevant provisions under the Listing Requirements pertaining to the implementation of the Proposed Regularisation Plan;
  2. IWCity and Maybank IB to confirm all approvals of relevant authorities have been obtained for the implementation of the Proposed Regularisation Plan and furnish a copy of all approval letters from the relevant authorities;
  3. IWCity and Maybank IB to furnish Bursa Securities with a certified true copy of the resolution passed by the shareholders at the general meeting for the Proposed Regularisation Plan; and
  4. IWCity and Maybank IB to inform Bursa Securities upon the completion of the Proposed Regularisation Plan and furnish Bursa Securities with a written confirmation of its compliance with the terms and conditions of Bursa Securities’ approval.
