MONTHLY ANNOUNCEMENT ON THE STATUS OF PLAN TO REGULARISE THE FINANCIAL CONDITION OF THE COMPANY PURSUANT TO PRACTICE NOTE 17 OF THE MAIN MARKET LISTING REQUIREMENTS OF BURSA MALAYSIA SECURITIES BERHAD |

We refer to the Company’s First Announcement dated 18 November 2021 in relation to the Company being classified as an affected listed issuer under Practice Note (“PN17”) and the Company’s announcements dated 16 November 2022, 20 December 2022, 15 May 2023 and 12 June 2023 in relation to the EOT Application.
Reference is also made to the announcements dated 9 May 2023, 25 April 2024, 5 July 2024 and 19 August 2024 in relation to the Proposed Regularisation Plan of the Company, of which has been approved by Bursa Securities.
Unless otherwise stated or redefined, all abbreviations and definitions used herein shall have the same meanings as those used in the Company’s announcements in relation to the Regularisation Plan.
On 14 October 2025, the Company entered into new underwriting agreement with M & A Securities, Kenanga Investment Bank Berhad and Apex Securities Berhad (“New Joint Underwriters”), whereby the New Joint Underwriters will underwrite 489,840,000 Rights Shares amounting to approximately RM48.98 million (“New Underwriting”).
In aggregate, the said New Underwriting and the Heritage’s Undertaking provided by Heritage to subscribe for 160,160,000 Rights Shares (amounting to approximately RM16.02 million) will achieve the Minimum Subscription Level of RM65.00 million under the Rights Issue with Warrants.
The Company will make the necessary announcement(s) regarding any development on the above matter.
