(I)	PROPOSED ACQUISITION OF YPVPL; AND
(II)	PROPOSED ACQUISITION OF YPL;

(Unless otherwise stated, all abbreviations used in this announcement shall have the same meanings as defined in the Company’s announcements dated 30 August 2024, 22 November 2024, 25 November 2024, 31 December 2024, 26 May 2025, 12 September 2025, 16 October 2025, 17 October 2025 and 6 November 2025 in relation to, inter-alia, the Proposed Acquisitions).

 

On behalf of the Company, Maybank IB is pleased to announce that Bursa Securities had vide its letter dated 20 November 2025 resolved to approve the listing of and quotation for 25,227,272 new LFG Shares to be issued pursuant to the Proposed Acquisitions subject to the following conditions:

  1. Confirmation by Maybank IB on the compliance of at least 25% of the public shareholding spread requirements pursuant to Paragraph 8.02(1) of the Listing Requirements upon the listing and quotation of the Consideration Shares;
  2. Maybank IB and LFG must fully comply with the relevant provisions under the Listing Requirements pertaining to the implementation of the Proposed Acquisitions;
  3. LFG to furnish Bursa Securities with the certified true copy of the resolutions passed by the shareholders at extraordinary general meeting approving the Proposed Acquisitions;
  4. Maybank IB and LFG to inform Bursa Securities upon the completion of Proposed Acquisitions; and
  5. Maybank IB to furnish Bursa Securities with a written confirmation of its compliance with the terms and conditions of Bursa Securities’ approval once the Proposed Acquisitions are completed.
