Für den Inhalt der Mitteilung ist allein der Emittent verantwortlich. —————————————————————————— Single-Purpose Announcement per Clause 15 of the Securities Trading Law _______________________________________________________________ ___________ PIRONET AG merges with NDH IT Service AG Additional ASP Distribution Channel – Increase in Sales and Revenue Projections Cologne, 8/16/2000; PIRONET AG signed a merger agreement with NDH IT Service AG, Cologne, on August 15, 2000 – after the corresponding resolution had been voted on and passed by the executive board. PIRONETs supervisory board has approved the transaction, through which all NDH IT Service AG shares are to be absorbed by PIRONET AG. For this transaction the company is making use of existing and approved capital with a capital increase against contribution in kind. 3.1 million new PIRONET AG shares will be issued to the sole shareholder and CEO of NDH IT Service AG, Mr. Felix Hoeger, excluding the subscription rights of current shareholders. The contract takes effect only upon approval by PIRONET AG’s general meeting and the registration of the contract in the corporate Commercial Register. The merger extends PIRONETs value chain and, through NDHs ASP (Application Service Provider) business, simultaneously opens a new distribution channels for the pirobase software. PIRONET AGs sales projections for the year 2000 will rise more than 40% to DM 48.5 million, as will earnings before interest and taxes (EBIT) to from DM – 6,0 million to DM – 4.5 million. Last year NDH IT Service AG achieved sales of DM 7.7 million. The company currently has 50 employees.
