| Circumstances by reason of which Securities Holder has interest | By virtue of Section 8(6)(a) of the Companies Act 2016, Whitmore Holdings Sdn. Bhd. ("WHSB"), a wholly-owned subsidiary of Batu Kawan Berhad, is deemed interested in MKH shares upon entering into the following agreements: (a) unconditional share sale agreement with Chen Choy & Sons Realty Sdn. Bhd. ("CCSR") for the proposed acquisition of 170,444,796 shares in MKH; and (b) conditional share sale agreement with CCSR, Tan Sri Dato' Chen Kooi Chiew @ Cheng Ngi Chong, Tan Sri Datuk Chen Lok Loi, Datuk Chen Fook Wah, Lotus Way Sdn. Bhd., Liberty Alliance (M) Sdn. Bhd. and Activest Sdn. Bhd. for the proposed acquisition of 104,433,373 shares in MKH ("MKH Sale Shares"). The completion of this agreement is conditional upon amongst others, the approval of the shareholders of BKB for the acquisition of the MKH Sale Shares and the resulting mandatory general offer to acquire all the remaining shares in MKH at an extraordinary meeting to be convened by BKB. |
