(III)	PROPOSED AMENDMENTS

(COLLECTIVELY REFERRED TO AS "PROPOSALS")

We refer to the announcements dated 21 August 2025 and 21 October 2025 in relation to the Proposals (“Announcements”). Unless otherwise defined, the definitions set out in the Announcements shall apply herein.

 

On behalf of the Board of Directors of NCT, Maybank Investment Bank Berhad (“Maybank IB”) is pleased to announce that Bursa Securities had, vide its letter dated 5 December 2025, resolved to approve the listing and quotation of up to 1,125,534,830 new NCT Shares to be issued pursuant to the following:

 

  1. up to 104,166,667 Consideration Shares to be issued to settle part of the Purchase Consideration of the Proposed Acquisition;
  2. up to 917,201,496 new NCT Shares to be issued upon the conversion of the Consideration RCPS pursuant to the Proposed Acquisition; and
  3. 104,166,667 Settlement Shares to be issued pursuant to the Proposed Settlement.

The approval by Bursa Securities is subject to the following conditions:

  1. NCT and Maybank Investment Bank Berhad (“Maybank IB”) must fully comply with the relevant provisions under the Main Market Listing Requirements (“LR”) pertaining to the implementation of the Proposals;
  2. Maybank IB to furnish Bursa Securities with a certified true copy of the resolution passed by the shareholders approving the Proposals;
  3. NCT and Maybank IB must observe and ensure full compliance with Paragraph 8.02(1) of the LR relating to the 25% public shareholding spread requirement pursuant to the Proposals;
  4. Maybank IB to furnish Bursa Securities a letter of compliance in relation to the amended Constitution pursuant to Paragraph 2.12 of the LR together with a copy of the duly executed Constitution;
  5. Maybank IB to inform Bursa Securities upon the completion of the Proposals; and
  6. NCT and Maybank IB to furnish Bursa Securities with a written confirmation of their compliance with the terms and conditions of Bursa Securities’ approval once the Proposals are completed.
