Committee is entrusted with: (1) making recommendations to the Board of Directors with respect to officers compensation policy,
as defined under Section 267A(a) of the Companies Law, as well as making recommendations, once every three years, as to granting
approval to extending the validity of such a policy set for a period exceeding a three-year period; (2) making recommendations
to the Board of Directors with regard to updating the policy from time to time, and review its implementation; (3) Determining
whether to approve officers' terms of employment arrangements, requiring the approval of the Compensation Committee in accordance
with Sections 272, 273 and 275 of the Companies Law; (4) Exempt an arrangement from requirement for approval by the General Meeting,
in accordance with Section 272(c1)(3). The Committee also makes decisions on approving officers terms of appointment and employment,
and is entitled to decide on whether to exempt a transaction from the need for approval by the General Meeting (where it is felt
by the Committee that bringing a transaction for the General Meeting's approval will thwart the agreement with a candidate to serve
