1. INTRODUCTION The Board of Directors of Synergy (“the Board”) wishes to announce that Synergy House Furniture Sdn. Bhd. (“SHF”), a wholly owned subsidiary of Synergy had on 10 October 2025 received a notification that SHF has been named as the First Defendant in a civil suit filed by Leyo Holding Sdn. Bhd. (“Leyo”) in the High Court of Malaya at Kuala Lumpur. Two (2) of SHF’s appointed third party manufacturers are named as the second and third defendants respectively (“the Manufacturers”).
2. BACKGROUND OF THE CLAIMS In the suit, Leyo has alleged patent and industrial design infringement against SHF as well as breach of a License Agreement dated 31 October 2023 (‘the Suit’). The subject matter relates to an alleged invention concerning furniture assembly of a particular furniture line. Leyo has sought damages against SHF and the Manufacturers, as well as declaration of infringement and an injunction. Leyo has alleged there is a total alleged sum of RM2,873,324.55 payable as at 2 September 2025, out of which SHF was invoiced RM493,828.71 while the balance RM2,379,495.84 were payable by the Manufacturers. Leyo has also filed an application for interlocutory injunction against the Manufacturers. SHF is denying the allegations and intends to defend the Suit as well as to file a counterclaim against Leyo.
3. FINANCIAL AND OPERATIONAL IMPACT As at the date of this announcement, the claims is not expected to materially affect the earning per share, net assets per share, gearing and substantial shareholder’s shareholding of the Company and its subsidiaries for the financial year ended 31 December 2025.
4. STEPS PROPOSED TO BE TAKEN IN RESPECT OF THE CLAIMS The Senior Management of the Company is of the view that there are reasonable grounds to challenge validity of the Claims. SHF shall appoint its Solicitors to defend themselves. The Company will announce further developments on the above matter as and when necessary.
