In a notice dated October 23, 2025, Cherry SE (“ Company “) announced that it had entered into two agreements with companies affiliated with Argand Partners, LP (collectively “ Argand “) to provide liquidity. As a major shareholder, Argand is a company closely related to the Company within the meaning of Section 111a of the German Stock Corporation Act (AktG). Among other things, Argand had agreed to acquire certain inventory from Cherry Americas LLC (“ Cherry US “), a US subsidiary of Cherry SE. In implementation of this agreement, Cherry US and Karina Blocker LLC (“ Purchaser “), an affiliate of Argand, entered into an Inventory Purchase Agreement and an accompanying Warehousing and Sales Agreement on October 31, 2025. Under the Inventory Purchase Agreement, Cherry US sold certain inventory to the Purchaser for a one-time purchase price totaling approximately USD 4.06 million. The purchase price corresponds to the fair value of the acquired inventory. Cherry US has undertaken to repurchase the acquired but unsold inventory after 15 months for a total of up to 10% of the original purchase price. Under the Warehousing and Sales Agreement, Cherry US acts as the exclusive sales representative for the Purchaser in the US. Cherry US assumes responsibility for the storage, distribution, and marketing of the acquired inventory, and bears the costs associated with any returns by customers. In return, Cherry US receives a minimum commission equal to 4.5% of the sales proceeds (with a higher commission in certain circumstances). The Warehousing and Sales Agreement has a term of 15 months and ends prematurely if all of the acquired inventory has been sold.
