Offer to Acquire PCB Business of AIK (Asset Deal)

Leoben, Austria, January 8, 2003: AT&S Austria Technologie & Systemtechnik AG
has submitted an offer to take over all of the PCB-related assets of AIK
Electronics Austria, which recently became insolvent. According to the offer the
take-over would become effective February 1, 2003. In the next fiscal year
2003/2004 this transaction would be expected to generate revenues of around EUR
14 million while not affecting net income.
This step has the following strategic implications:
-Diversify customer base
-Better fulfil customers’ desire for one-stop-shopping
-Further improve specialization of production facilities
-Labour-intense manufacturing in Hungary
-Serve local markets (particularly in the automotive and the industrial
electronics segments) with highest possible flexibility
-Specialized single-sided PCB-products with high-tech features
