Carl Zeiss Meditec AG entered into commercial register – merger concluded
The merger of Carl Zeiss Ophthalmic Systems AG with Asclepion-Meditec AG
(German securities code number 531 370) into Carl Zeiss Meditec AG was
officially sealed today when the change was recorded in the commercial
register. This was the final step in the integration process, from which the
company emerges as one of the world’s leading vendors of ophthalmic devices.
Carl Zeiss Meditec AG will continue to be listed on the Neuer Markt at the
Frankfurt Stock Exchange.
Due to the merger the share capital of presently 6.2 million shares will be
increased to 25.8 million shares, each with a nominal value of euro 1.00. The
admission of the newly-issued shares to stock trading is to be expedited as
soon as possible. Existing shares in Asclepion-Meditec AG will be automatically
exchanged for shares in Carl Zeiss Meditec AG at no cost to the shareholders.
