EVN AG / Agreement
Release of an Ad hoc announcement, transmitted by DGAP - a company of

RAG-Beteiligungs-Aktiengesellschaft (RBG) holds 75% of
Rohöl-Aufsuchungs-Aktiengesellschaft (RAG) stock, while 25% are retained by
E&P Holding GmbH (EPH). In turn, EVN AG holds 50.05% of RBG shares, the
remainder being divided between E.ON Ruhrgas E&P GmbH (29.95 %), Steirische
Gas-Wärme GmbH and Salzburg AG für Energie, Verkehr und Telekommunikation
(both 10 %).
Agreement has now been reached with EPH’s owner, the Shell Group, that the
company be purchased by a consortium consisting of the RBG partners via a
jointly owned subsidiary, in which EVN will have a 49.95% interest.
The transaction remains subject to the various, normal provisos, such as
merger law clarification.

RAG was founded in 1935 and is the oldest existing Austrian company in the
field of oil exploration and production. Today, RAG deals with the
production of crude oil and natural gas from fields in Upper and Lower
Austria, Salzburg and Bavaria. In addition, the company is involved in
crude oil and natural gas storage, natural gas trading and a number of
related business areas. In 2006, RAG had sales of approximately EUR 369.5
million.
