On 12 May 2015, Franz Haniel & Cie. GmbH, Duisburg, Germany, informed us
pursuant to §§ 21 f. WpHG - and with regard to Haniel Finance Deutschland
GmbH also in conjunction with § 24 WpHG - about the following:
1. The share of voting rights of
Franz Haniel & Cie. GmbH, Duisburg, Germany,
in METRO AG, Düsseldorf, Germany, has fallen on 11 May 2015 below the
thresholds of 30% and 25% and on that day amounted to 24.996% of the voting
rights (81,015,280 voting rights). These voting rights are attributed to
Franz Haniel & Cie. GmbH in accordance with § 22 Section 1 Sentence 1 No. 1
WpHG.
Voting rights are attributed to Franz Haniel & Cie. GmbH from the following
controlled enterprises which, in each case, are holding a share of voting
rights in METRO AG of 3% or more:
- Haniel Finance Deutschland GmbH;
- METRO Vermögensverwaltung GmbH;
- METRO Vermögensverwaltung GmbH & Co. KG;
- 1. HSB Verwaltung GmbH;
- 1. HSB Beteiligungsverwaltung GmbH & Co. KG.
2. The share of voting rights of our group company,
Haniel Finance Deutschland GmbH, Duisburg, Germany,
in METRO AG, Düsseldorf, Germany, has fallen on 11 May 2015 below the
thresholds of 30% and 25% and on that day amounted to 24.996% of the voting
rights (81,015.280 voting rights). Thereof, the former holds 11.82% of the
voting rights (38,324,765 voting rights) directly. The other 13.17% of the
voting rights (42,690,515 voting rights) are attributed to Haniel Finance
Deutschland GmbH in accordance with § 22 Section 1 Sentence 1 No. 1 WpHG.
Voting rights are attributed to Haniel Finance Deutschland GmbH from the
following controlled enterprises which, in each case, are holding a share
of voting rights in METRO AG of 3% or more:
- METRO Vermögensverwaltung GmbH;
- METRO Vermögensverwaltung GmbH & Co. KG;
- 1. HSB Verwaltung GmbH;
- 1. HSB Beteiligungsverwaltung GmbH & Co. KG.
