Director/PDMR Shareholdings and Issue of Equity

Chapel Down, the market leader in English wines, announces that it has been informed that the following dealings in its ordinary shares of 5 pence each (“Ordinary Shares”) took place earlier today:

• Richard Woodhouse, Finance Director of the Company, exercised 554,076 options over Ordinary Shares (“Options”). There were 276,234 and 277,842 Options exercised at a price of 10 pence and 17 pence per Ordinary Share respectively. 260,000 of these Ordinary Shares were subsequently sold at a price of 42.5 pence per Ordinary Share. The Ordinary Shares were sold to satisfy tax liabilities arising on the exercise and associated dealing costs. Following this exercise and sale, Mr Woodhouse’s total beneficial shareholding in the Company is 1,227,389 Ordinary Shares, representing approximately 0.77% of the Company’s enlarged issued share capital;

• Guy Tresnan, Retail and Export Director, exercised 1,168,005 Options. There were 745,900 Options exercised at a price of 10 pence per Ordinary Share, 144,263 Options exercised at a price of 15 pence per Ordinary Share and 277,842 Options exercised at a price of 17 pence per Ordinary Share. 540,000 of these Ordinary Shares were subsequently sold at a price of 42.5 pence per Ordinary Share. The Ordinary Shares were sold to satisfy tax liabilities arising on the exercise and associated dealing costs. Following this exercise and sale, Mr Tresnan’s total beneficial shareholding in the Company is 1,093,062 Ordinary Shares, representing approximately 0.69% of the Company’s enlarged issued share capital; and

• IPGL Limited (“IPGL”), a substantial shareholder in the Company, purchased 800,000 Ordinary Shares at a price of 42.5 pence per Ordinary Share. Samantha Wren is a Non-Executive Director of the Company and CEO of IPGL, therefore IPGL is a person closely associated (“PCA”) with Samantha Wren. Following this purchase, IPGL’s total beneficial shareholding in the Company is 45,295,250 Ordinary Shares, representing approximately 28.44% of the Company’s enlarged issued share capital.

Issue of Equity

Application has been made for 1,722,081 Ordinary Shares to be admitted to the Aquis Exchange, which will rank pari passu with the Company's existing Ordinary Shares, and admission to trading is expected to be effective on 4 February 2022 ("Admission").

Following Admission, the Company will have 159,243,885 Ordinary Shares in issue with each share carrying the right to one vote. This figure may be used by shareholders as the denominator for the calculations to determine if they are required to notify their interest in, or a change to their interest in, the Company under the FCA's Disclosure Guidance and Transparency Rules.
