Background/Description of the Disclosure

The Company is in the process of conducting a follow-on offering (FOO) of the Company’s preferred shares, as approved by the Board of Directors of the Company and disclosed to the Exchange on July 16, 2021, and has filed its application for registration with the Securities and Exchange Commission.

The Company will make the proper disclosure of the terms of the FOO at the proper time once the necessary approvals have been secured.

The amended was made to correct from primary shares to preferred shares.
