Background/Description of the Disclosure

Far Eastern University, Inc. (“FEU”) announces that the subscription agreement with Higher Academia, Inc. (“HAI”) has been finalized today, 10 October 2025.

Through this agreement, FEU subscribes to an additional 114,286 common shares in HAI, increasing its total holdings to 2,914,286 shares. This represents 51% of HAI’s outstanding capital stock, establishing FEU as its majority owner
