Für den Inhalt der Mitteilung ist allein der Emittent verantwortlich. —————————————————————————— –THE ENGLISH VERSION BEGINS AT THE END OF THE GERMAN VERSION– UNIQA VERSICHERUNGEN AG: UMTAUSCHANGEBOT AN PARTIZIPATIONSSCHEININHABER – Umtausch von Partizipationsscheinen in Stammaktien im Verhältnis 1:1 spesenfrei – Antrag zum Einzug der verbleibenden Partizipationsscheine für Juni vorgesehen Im Herbst des vergangenen Jahres hat bereits ein Großteil der Inhaber von UNIQA Partizipationsscheinen ihre Papiere in UNIQA Stammaktien umgetauscht. Nunmehr unterbreitet die UNIQA Versicherungen AG den Inhabern der verbliebenen 31.255 Partizipationsscheinen im Nominale von je ATS 100.- ein neuerliches Angebot diese in Stammaktien der Gesellschaft zu tauschen. Der Umtausch erfolgt in der Weise, dass für einen Partizipationsschein im Nominale ATS 100,- ein Stück auf Inhaber lautende Stammaktie im Nominale ATS 100,- gewährt wird und keine Zuzahlung zu leisten ist. Der Umtausch erfolgt für die Partizipationsscheininhaber grundsätzlich spesenfrei. UNIQA übernimmt sämtliche mit der Abwicklung dieses Angebotes in Zusammenhang stehenden Kundenprovisionen und Spesen. Die Umtauschfrist wurde für den Zeitraum von Donnerstag, 4. Mai 2000, bis einschließlich Mittwoch, 17. Mai 2000, festgelegt. Die Einreichung der Partizipationsscheine kann in dieser Zeit bei der Raiffeisen Zentralbank Österreich Aktiengesellschaft, 1030 Wien, Am Stadtpark 9, sowie bei den jeweiligen depotführenden Kreditinstituten mit den aufliegenden Umtauschformularen vorgenommen werden. Die näheren Umtauschbedingungen werden in den nächsten Tagen im Amtsblatt der Wiener Zeitung veröffentlicht. Nach den Bestimmungen des § 73d Abs 6 Versicherungsaufsichtsgesetzes können jene Partizipationsscheine, die im Rahmen dieses Umtauschangebotes nicht in Stammaktien getauscht werden, nach Beschluss der Organe durch die Gesellschaft eingezogen und bar abgefunden werden. Es ist beabsichtigt, einen entsprechender Antrag auf Einziehung der nach diesem Umtauschangebot verbleibenden Partizipationsscheine den Aktionären zur Beschlussfassung in der ordentlichen Hauptversammlung vom 20.6.2000 vorzulegen. UNIQA Versicherungen AG now presents the holders of the remaining 31,255 participation certificates of a nominal value of ATS 100.- each a new offer to exchange their participation certificates for common shares of the group. This exchange transaction is effected by granting one bearer share certificate of a nominal value of ATS 100.- for one participation certificate of a nominal value of ATS 100.- without charging shareholder contributions. For the holders of participation certificates this exchange is basically free of expense. UNIQA will pay all customers commissions and expenses arising in the context of processing the exchange offer. The exchange period is from Thursday, May 4th, 2000 to Wednesday May 17th, 2000 inclusive. During this period an application for exchanging participation certificates may be filed at Raiffeisen Zentralbank Österreich Aktiengesellschaft, 1030 Vienna, Am Stadtpark 9, or the respective depository credit institutions by using the exchange forms available there. Further details on the terms of exchange will be published in the Official Journal of Wiener Zeitung in the next days. In accordance with the provisions of § 73d Article 6 of the Law on the Supervision of Insurance Companies, those participation certificates which were not exchanged for common shares in the framework of this exchange offer may be recalled and refunded in cash by the group upon resolution of its organs. The group intends to present the request to recall the participation certificates remaining after expiry of the exchange offer period to the shareholders for adoption at the ordinary shareholders meeting on June 20th, 2000.
