voestalpine acquires the Vossloh shareholding in VAE AG and thereby becomes ma-
jority shareholder of the worldwide leading manufacturer of switching systems
Vienna (16 July 2002) voestalpine Bahnsysteme GmbH, an affiliate of the
publicly quoted voestalpine AG and lead company of the voestalpine railway
systems division, takes over the 45.3 percent shareholding in switch
manufacturer VAE AG, which has so far been held by Vossloh AG. Thus, voestalpine
Bahnsysteme GmbH, whose shareholding in the VAE Group has likewise been 45.3
percent, becomes majority shareholder of the worldwide leading manufacturer of
switching systems and now holds 90.6 percent of the company’s shares. The
purchase price for the shares acquired from Vossloh is EUR 140.5 million. In
addition, voestalpine Bahnsysteme GmbH will provide adequate compensation for
the 9.4 percent of the VAE shares which are held by small shareholders as soon
as the transaction has been approved by the competition authorities. Based on
the purchase price for the shares of VAE AG held by Vossloh AG, the compensation
price for the small shareholders is estimated at EUR 221.47 per VAE share.
