Publication of prospectus

Reference is made to the stock exchange announcement
by Copeinca ASA (the "Company") dated 5 April 2013
regarding the completed private placement towards
Cermaq ASA (the "Private Placement"), raising gross
proceeds of NOK 690,490,000.

The Financial Supervisory Authority of Norway has
today approved a prospectus (the "Prospectus") for
listing of the 11,700,000 new shares in connection
with the Private Placement. The Prospectus is
available at the Company's website www.copeinca.com.
In addition, hard copies may be obtained from the
offices of the Company at Haakon VII no. 10, 0161
Oslo, Norway.

The Company only has one class of shares. As of the
publication of the Prospectus, the new shares will be
tradable on Oslo Stock Exchange.

This announcement is given in accordance with the
Oslo Stock Exchange Circular 3/2006 section 4.4 and
4.3, c.f. Norwegian Securities Trading Act section 7-
19.
