EARNINGS DISTRIBUTION PROPOSAL

Avianca Holdings S.A.’s Board of Directors approved the following proposal of earnings distribution for the period January 1^st to December 31^st 2016, which will be submitted for the consideration of the General Shareholders’ Meeting to be held on March 31^st, 2017:

• From the retained earnings, as of December 31^st, 2016, distribute to shareholders (including ADS holders) a dividend of COP$77 per share.

• Declared dividends will be paid in two (2) equal payments of COP$38.5 per share on July 31^st and October 31^st, 2017.

The proposal of earnings distributions is subject to the approval of the General Shareholders’ Meeting. Therefore, this earning distribution may vary according to the decision that the shareholders may reach in such General Shareholders’ Meeting.
