AMENDMENT OF THE BY-LAWS

Avianca Holdings S.A. informs that, in the ordinary meeting of the Shareholders of Avianca Holdings S.A. held on March 31, 2017, the proposal to amend article 14 of the Pacto Social, consisting of the reduction of the number of officers from 5 to 3, has not been approved. Therefore, the number of officers of the Company set forth in Article 14 shall be maintained at 5.
