Result of General Meeting 

 

The Pebble Group, a leading provider of technology, products and related services to the global promotional products industry, announces the results of its General Meeting held at 10.00 a.m. (UK time) today at Didsbury House, 748-754 Wilmslow Road, Didsbury, Manchester, M20 2DW. The resolutions put to shareholders, as outlined in the circular published on 21 July 2025 (the "Circular"), were as follows:

·      A special resolution to approve the Tender Offer (the "Tender Offer Resolution"); and

·      An advisory vote tabled as an ordinary resolution to approve the proposed amendments to the Current Directors' Remuneration Policy (the "Directors' Remuneration Policy Resolution").

The Company is pleased to announce that, following the conclusion of the General Meeting, both resolutions were duly passed. Voting on the resolutions proposed at the General Meeting was conducted by way of a poll.

The number of votes for and against the resolutions put before the General Meeting, as well as the number of votes withheld, were as follows:

The Tender Offer closes at 1.00 p.m. (UK time) on 7 August 2025. The Company expects to make a further announcement in respect of the results of the Tender Offer on 8 August 2025.
