BRAIN FORCE HOLDING AG (ISIN AT0000820659) was informed that BF
Informationstechnologie-Beteiligungsgesellschaft m.b.H. on February 11,
2008 acquired 698,000 shares in BRAIN FORCE HOLDING AG (ISIN: AT0000820659)
which secure some 4.54% of the voting rights in BRAIN FORCE HOLDING AG.
Including previously acquired shares, BF
Informationstechnologie-Beteiligungs-gesellschaft m.b.H. thereby holds
3,742,000 shares, i.e., voting rights and interests in BRAIN FORCE HOLDING
AG of approx. 24.32%.

Furthermore, BF Informationstechnologie-Beteiligungsgesellschaft m.b.H.
signed on February 11, 2008 a voting agreement for 874,364 shares (approx.
5.68%) in BRAIN FORCE HOLDING AG subject to the approval of the Antitrust
Division. If the antitrust approval is agreed, BF
Informationstechnologie-Beteiligungsgesellschaft m.b.H. will hold some
30.002% of voting rights.

BF Informationstechnologie-Beteiligungsgesellschaft m.b.H. is owned by
Unternehmens Invest AG (49%) and CROSS Industries AG (2%).
IT-Managementgesellschaft m.b.H. & Co. KG will acquire the remaining 49%.
CROSS Industries AG holds shares of some 51% in Unternehmens Invest AG.
IT-Managementgesellschaft m.b.H. & Co. KG is held by institutional and
private investors as limited partners.
