The Managing Board of BRAIN FORCE HOLDING AG has been informed, that BF
Informationstechnologie-Beteiligungsgesellschaft m.b.H acquired a total of
2,822,235 shares of BRAIN FORCE HOLDING AG (ISIN: AT0000820659) within the
context of the public tender offer submitted in accordance with Art. 22a
iVm § 22 Austrian Takeover Act by the expiration of the acceptance period
of the offer, which was extended to July 22, 2008, pursuant to Art. 19 (3)
Austrian Takeover Act. The newly-acquired shares represent 18.34% of the
voting rights in BRAIN FORCE HOLDING AG. Together with the shares which had
been previously acquired, BF
Informationstechnologie-Beteiligungsgesellschaft m.b.H holds a total of
7,203,696 shares, which represents voting rights and share capital
amounting to 46.82% of BRAIN FORCE HOLDING AG. Along with the voting rights
attained through a separate voting agreement dated February 11, 2008,
amounting to 874,364 shares or 5.68% of the share capital, BF
Informationstechnologie-Beteiligungsgesellschaft m.b.H now controls 52.50%
of the voting rights in BRAIN FORCE HOLDING AG.
