BRAIN FORCE HOLDING AG: BRAIN FORCE announces change in Managing Board

BRAIN FORCE HOLDING AG (Vienna Stock Exchange: BFC, Reuters: BFC.VI), a
leading IT services provider with business operations in Austria, Germany,
Switzerland, Italy, the Netherlands and Czech Republic, announced today
that Chief Executive Officer Günter Pridt has requested that the
Supervisory Board terminate his current employment contract for health
reasons, effective at the end of 2009. However, he will continue to be
available to serve the company in an advisory capacity, and shall assume a
position on the Supervisory Board following the Annual General Meeting
scheduled to be held on February 24, 2010. Günter Pridt was already a
member of the Supervisory Board of BRAIN FORCE HOLDING AG in the period
2005 to 2007 before being named CEO in September 2007.

As of October 19, 2009, the Supervisory Board appointed Michael Hofer to be
the new Chief Executive Officer of BRAIN FORCE HOLDING AG. After completing
his PhD studies at the Vienna University of Economics and Business, Michael
Hofer served in various management positions at the Cross Group starting in
the year 1991, most recently as the sole managing director of the company
Eternit-Werke Ludwig Hatschek AG from 2005 to 2009 as well as the IT
manager for the Cross Group. Mr. Hofer has also been on the Supervisory
Board of BRAIN FORCE HOLDING AG since May 2008.

'The Supervisory Board regrets the request submitted by Günter Pridt
indicating his need to resign from the Managing Board for health reasons,'
says Christoph Senft, Chairman of the Supervisory Board of BRAIN FORCE
HOLDING AG, in commenting on the change in the company's top management.
'We would like to thank him for his valuable dedication and the successful
restructuring measures implemented over the last two years, and we are
pleased that he will remain with the company in the future but in another
position. At the same time, we would like to wish the new CEO Michael Hofer
and his colleague, CFO Thomas Melzer, much success in further carrying out
the growth strategy.'
