BRAIN FORCE HOLDING AG: BRAIN FORCE and BEKO combine their Professional Services Business in Austria

BRAIN FORCE HOLDING AG (Vienna Stock Exchange: BFC, Reuters: BFC.VI), a
leading IT services provider with business operations in Austria, Germany,
Switzerland, Italy, the Netherlands, Czech Republic and Slovakia, has sold
its Professional Services business in Austria to BEKO Engineering &
Informatik AG, a subsidiary of BEKO HOLDING AG. Therefore, BEKO Engineering
& Informatik AG will acquire BRAIN FORCE Software GmbH, an Austrian
subsidiary of BRAIN FORCE HOLDING AG, for EUR 3.8 million in cash. In the
future, the business operations of BRAIN FORCE in Austria will concentrate
on IT service management solutions (www.solvedirect.com), its own
application management solutions (www.packagingrobot.com) and the expansion
of its Microsoft Dynamics business (www.brainforce.at).

'In 2008, we reoriented the BRAIN FORCE strategy to focus on the Business
Solutions and Infrastructure Optimization business areas. Therefore, we
have already built up a Business Solutions unit for Microsoft Dynamics (in
particular NAV and AX) in Austria. The combination of our Professional
Services business in Austria with that of BEKO is a win-win situation. As a
consequence, BRAIN FORCE will obtain cash which we can invest in our growth
areas, and BEKO will be able to exploit synergies based on economies of
scale', says Michael Hofer, Chief Executive Officer of BRAIN FORCE HOLDING
AG, commenting on the transaction.

Friedrich Hiermayer, Spokesman of the Management Board of BEKO Engineering
& Informatik AG, explains the underlying reasons for the transaction from
his company's point of view: 'The Professional Services business of BRAIN
FORCE in Austria optimally complements our own activities, in particular
regarding the skills of the employees as well as the respective sectoral
focus. Moreover, the purchase will enable us to benefit from cost synergies
and our joint market presence. BEKO and BRAIN FORCE deploy a total of about
200 IT consultants in customer projects, and are thus the market leader in
Austria. We look forward to working closely together with our BRAIN FORCE
colleagues, and will immediately begin with integrating the new employees
into our company. Our target is not only to be the biggest but also the
most efficient provider of Professional Services in Austria, in order to
provide the best IT specialists to our customers at the best possible terms
and conditions also in the future'.

The Professional Services business of BRAIN FORCE Software GmbH is one of
the leading IT service companies in Austria, deploying specialists to work
for customers in the IT, the telecom, the financial and the public sectors
as well as in the industry. At present, BRAIN FORCE Software GmbH is
deploying 85 IT consultants who are carrying out customer projects. In the
new fiscal year 2009/10 BRAIN FORCE had a plan to generate revenues of EUR
7.6 million from its Professional Services business in Austria. BRAIN FORCE
Software GmbH laid the groundwork for this transaction by spinning off its
IT service management operations (SolveDirect) to create a separate
subsidiary, SolveDirect Service Management GmbH, which will remain part of
the BRAIN FORCE Group. Also the Professional Services business in Germany
will continue to be managed by BRAIN FORCE. As a result of this
transaction, BRAIN FORCE HOLDING AG will realize a non-recurring book gain
of approximately EUR 2.5 million in the first quarter of the new 2009/10
financial year.
