BRAIN FORCE HOLDING AG (ISIN: AT0000820659) has been notified that
effective from December 15, 2009, ABAG AKTIENMARKT BETEILIGUNGS AG has, on
basis of a concluded loan agreement, acquired from ERSTER PRIVATER
INVESTMENTCLUB BÖRSEBIUS ZENTRAL (GbR) 2.611.015 shares of BRAIN FORCE
HOLDING AG - this corresponds to 16,97% of the voting rights. Accordingly
ABAG AKTIENMARKT BETEILIGUNGS AG exceeded the 15% voting rights threshold
and ERSTER PRIVATER INVESTMENTCLUB BÖRSEBIUS ZENTRAL (GbR) fell below that
threshold.

Subject to the controlling participation of ERSTER PRIVATER INVESTMENTCLUB
BÖRSEBIUS ZENTRAL (GbR) in ABAG AKTIENMARKT BETEILIGUNGS AG in the amount
of 97,29%, the shares now directly held by ABAG AKTIENMARKT BETEILIGUNGS AG
in BRAIN FORCE HOLDING AG are according to § 92 Z 4 BörseG to be imputed to
ERSTER PRIVATER INVESTMENTCLUB BÖRSEBIUS ZENTRAL (GbR).
