COPENHAGEN, April 26th, 2022, 5th Planet Games A/S (OAX: 5PG)
Reference is made to the announcement on 11 November 2021. As part of the investment from Skybound Games Studios Inc. the second tranche of shares (36,129,608 shares) has now been issued to Skybound Games Studios Inc. at a price of NOK 0.60968 per share of nominal DKK 0.05 each.
As such, the Company's entire share capital is now DKK 8,206,279,15 divided into a total of 164,125,583 shares, each with a nominal value of DKK 0.05.
Following settlement of the share issue, Skybound Games Studios Inc. will hold more than 35% of the capital and of all votes in 5th Planet Games A/S and accordingly be required to put forward a mandatory offer to all other shareholders in 5th Planet Games A/S to buy their shares at the same price as Skybound Games Studios Inc. has acquired their shares, as also described in the prospectus published by the Company on 11 November 2021.
