Affiliate Closes Sale of Rotterdam Airport Project

Reference is made to the press release issued by Alternus Energy Group Plc (OSE: ALT) (the “Company”) on 21 November 2023 and the Company’s Euronext notices filed on 28 December 2023 and 16 January 2024, regarding the planned sale of its operating solar projects in the Netherlands. The Company and one its wholly owned subsidiaries, AEG JD 02 Ltd., has sold 100% of the share capital in Blue Sky Energy I B.V. (“Blue Sky”) which holds a 13.63 MW solar farm project at Rotterdam Airport.

The total remuneration consisting of the purchase price and the repayment of shareholder’s loans granted to SPVs is in line with what the Company previously announced on 21 November 2023; the proceeds from the Blue Sky sale will be used to pay down debt.

EY acted as the sole Financial Advisor to the Company in these transactions.
