Barramundi Group Ltd. – share capital changes completed

Singapore, 11 August 2021

Reference is made to the press release from Barramundi Group Ltd. (the "Company") published on 4 August 2021 regarding the contemplated private placement (the "Private Placement") and listing on Euronext Growth Oslo.

The Private Placement was completed on 6 August 2021. 8,900,000 shares were subscribed of which 8,100,000 shares were newly issued, while 800,000 shares were borrowed under an overallotment and share lending agreement with shareholder Barramundi Asia Holdings Pte. Ltd. The subscription price for each share was NOK 14.70 / SGD 2.25, resulting in the Company raising gross proceeds of NOK 130,830,000 / SGD 20,025,000 of which NOK 119,070,000 / SGD 18,225,000 was payable to the Company for the new shares. Immediately prior to completion of the Private Placement, all of the Company's 23,247,294 preference shares were redeemed, and all of the Company's convertible loans were converted to new shares, resulting in the issuing of a total of 16,200,770 new shares.

As a result, and following registration of the share capital changes with the Accounting and Corporate Regulatory Authority of Singapore ("ACRA") on 11 August 2021, the Company now has an issued share capital of SGD 153,976,242.63 divided into 40,369,983 shares, all of the same class and each carrying one vote.

DNB Markets, a part of DNB Bank ASA, is engaged as the Euronext Growth Advisor. In connection with the Private Placement, DNB Markets is engaged as Global Coordinator and Joint Bookrunner while Pareto Securities AS is engaged as Joint Bookrunner. Wikborg Rein Advokatfirma AS is acting as Norwegian legal advisor to the Company. TSMP Law Corporation is acting as Singapore legal advisor to the Company. Advokatfirmaet BAHR AS is acting as Norwegian legal counsel to the Euronext Growth Advisor and Joint Bookrunners.
