William L. Warrick, Arlen J. Paul, Dennis Bailey, William Devos, Ruth A.
Hollingsworth, Shannon E. Warrick, Bradford J. Warrick, William Lewis Warrick,
Jodie D. Warrick, Helen L. Krizman, Warrick LP, William L. Warrick as Trustee
of the William Warrick 1998 Irrevocable Trust for the Benefit of Shannon
Elizabeth Warrick, William L. Warrick as Trustee of the William Warrick 1998
Irrevocable Trust for the Benefit of William Lewis Warrick, William L. Warrick
as Trustee of the William Warrick 1998 Irrevocable Trust for the Benefit of
Bradford James Warrick, and William L. Warrick as Trustee of the William
Warrick 1998 Irrevocable Trust for the Benefit of Jodie Dawn Warrick, (sometimes
referred to singly as &#147;<i><font style="font-style:italic;">Seller</font></i>&#148; and
collectively as &#147;<i><font style="font-style:italic;">Sellers</font></i>&#148;), R-Vision,&nbsp;Inc.,
an Indiana corporation (&#147;<i><font style="font-style:italic;">R-Vision</font></i>&#148;),

R-Vision Motorized LLC, an Indiana limited liability company (&#147;<i><font style="font-style:italic;">R-Vision Motorized</font></i>&#148;), Roadmaster LLC, an Indiana limited
liability company (&#147;<i><font style="font-style:italic;">Roadmaster</font></i>&#148;)
and Bison Manufacturing, LLC an Indiana limited liability company (&#147;<i><font style="font-style:italic;">Bison</font></i>&#148;) (R-Vision, AJP, R-Vision Motorized, Roadmaster and
Bison are collectively called the &#147;<i><font style="font-style:italic;">R-Vision Group</font></i>&#148;)
and William L. Warrick as representative of the Sellers (the &#147;<i><font style="font-style:italic;">Sellers&#146; Representative</font></i>&#148;), pursuant to which Purchaser will
purchase all of the issued and outstanding shares of capital stock of R-Vision
and AJP and all of the outstanding membership interests of R-Vision Motorized,
Roadmaster and Bison (collectively, the &#147;<i><font style="font-style:italic;">Transaction</font></i>&#148;).</font></p>

<p style="margin:0in 0in .0001pt;text-indent:.5in;"><font size="2" face="Times New Roman" style="font-size:10.0pt;">The aggregate consideration for all
the equity interests of the R-Vision Group is $60,000,000, less the amount of
any outstanding indebtedness for borrowed money of the R-Vision Group and
certain other payments of the R-Vision Group in connection with the closing of
the Transaction, including transaction expenses (the &#147;<i><font style="font-style:italic;">Purchase
Price</font></i>&#148;), subject to adjustment based on the net book value of the
R-Vision Group as of the closing of the Transaction.</font></p>

serve as the Chief Executive Officer.&#160; Section&nbsp;6.8
was redesignated as 6.9 and was amended to clarify the powers and responsibilities
of the President and to provide that in the absence or disability of the Chief
Executive Officer, or if there be no such officer, then the President shall
have the powers of the Chief Executive Officer.&#160;
Section&nbsp;6.16 was&#160; added to
define the responsibilities of the Chief Financial Officer.&#160; Section&nbsp;6.16 was added to define the

not in any other capacity in which service was or is rendered by such
indemnitee, including, without limitation, service to an employee benefit plan)
shall be made only upon delivery to the Corporation of an undertaking
(hereinafter an &#147;undertaking&#148;), by or on behalf of such indemnitee, to repay
all amounts so advanced if it shall ultimately be determined by final judicial
decision from which there is no further right to appeal (hereinafter a &#147;final
adjudication&#148;) that such indemnitee is not entitled to be indemnified for such
expenses under this Section&nbsp;7.2 or otherwise.</h2>

pursuant to the terms of an undertaking, the Corporation shall be entitled to
recover such expenses upon a final adjudication that, the indemnitee has not
met any applicable standard for indemnification set forth in the DGCL.&#160; Neither the failure of the Corporation (including

directors, independent legal counsel, or its stockholders) to have made a

<h2 style="font-weight:normal;margin:0in 0in .0001pt;text-indent:.5in;"><font size="2" face="Times New Roman" style="font-size:10.0pt;">&nbsp;</font></h2>

<p style="margin:0in 0in .0001pt;text-indent:.5in;"><font size="2" face="Times New Roman" style="font-size:10.0pt;">Without limiting the manner by which notice otherwise
may be given effectively to stockholders pursuant to the DGCL, the Certificate
of Incorporation or these Bylaws, any notice to stockholders given by the
Corporation under any provision of the DGCL, the Certificate of Incorporation
or these Bylaws shall be effective if given by a form of electronic
transmission consented to by the stockholder to whom the notice is given.&#160; Any such consent shall be revocable by the
stockholder by written notice to the Corporation.&#160; Any such consent shall be deemed revoked if:</font></p>

<p style="margin:0in 0in .0001pt;"><font size="2" face="Times New Roman" style="font-size:10.0pt;">&nbsp;</font></p>

<h4 style="font-size:10.0pt;font-weight:normal;margin:0in 0in .0001pt;text-indent:1.0in;"><font size="2" face="Times New Roman" style="font-size:10.0pt;">(i)</font><font size="1" style="font-size:3.0pt;">&#160;&#160;&#160;&#160;&#160;&#160;&#160;&#160;&#160;&#160;&#160;&#160;&#160;&#160;&#160;&#160;&#160; </font>the Corporation
is unable to deliver by electronic transmission two consecutive notices given
by the Corporation in accordance with such consent; and</h4>

<h4 style="font-weight:normal;margin:0in 0in .0001pt;text-indent:1.0in;"><font size="2" face="Times New Roman" style="font-size:10.0pt;">&nbsp;</font></h4>

<h4 style="font-size:10.0pt;font-weight:normal;margin:0in 0in .0001pt;text-indent:1.0in;"><font size="2" face="Times New Roman" style="font-size:10.0pt;">(ii)</font><font size="1" style="font-size:3.0pt;">&#160;&#160;&#160;&#160;&#160;&#160;&#160;&#160;&#160;&#160;&#160;&#160;&#160;&#160; </font>such inability
becomes known to the Secretary or an Assistant Secretary of the Corporation or
to the transfer agent, or other person responsible for the giving of
notice.&#160; However, the inadvertent failure
to treat such inability as a revocation shall not invalidate any meeting or
other action.</h4>

<h4 style="font-weight:normal;margin:0in 0in .0001pt;text-indent:1.0in;"><font size="2" face="Times New Roman" style="font-size:10.0pt;">&nbsp;</font></h4>
