Sermaye Piyasası Kurulu'nun 3 Ocak 2014 tarih ve 28871 sayılı Resmi Gazete' de yayımlanarak yürürlüğe giren II-17.1 sayılı Kurumsal Yönetim Tebliği'nin ("Tebliğ") "Yaygın ve Süreklilik Arz Eden İşlemler" başlıklı 10. maddesi kapsamında, Akenerji Elektrik Üretim A.Ş.'nin ("Şirket") ve bağlı ortaklıklarının, Türkiye Muhasebe Standartları / Türkiye Finansal Raporlama Standartları (TMS/TFRS) uyarınca tanımlanan ilişkili kişiler ile 2023 yılında gerçekleştirilmiş olan ve Tebliğ'de sayılan %10 sınırını aşan işlemlerin piyasa koşulları ile karşılaştırılması amacıyla Yönetim Kurulumuzca hazırlanan raporun sonuç bölümü aşağıda sunulmaktadır:

Sermaye Piyasası Kurulu'nun 3 Ocak 2014 tarih ve 28871 sayılı Resmi Gazete' de yayımlanarak yürürlüğe giren II-17.1 sayılı Kurumsal Yönetim Tebliği'nin "Yaygın ve Süreklilik Arz Eden İşlemler" başlıklı 10. maddesine istinaden, Şirket ile TMS/TFRS uyarınca ilişkili taraf olarak tanımlanan Sakarya Elektrik Perakende Satış A.Ş.arasında gerçekleşen, yaygın ve süreklilik arz eden işlemlerin, 2023 yılı hesap dönemi içerisindeki tutarlarının, kamuya açıklanan son yıllık finansal tablolar olan 31 Aralık 2023 tarihinde sona eren yıla ait konsolide finansal tablolarda yer alan hasılat tutarının %10'undan fazlasına ulaştığı tespit edilmiştir. Diğer yandan, Şirket'in bağlı ortaklıkları ve/veya TMS/TFRS uyarınca tanımlanan ilişkili taraflar ile yaygın ve süreklilik arz eden işlemlerin, 2024 yılında Tebliğ'de belirtilen oranlara ulaşacağı öngörülmemektedir.

Within the scope of Article 10 "Common and Continuous Transactions" of the Communique on Corporate Governance Serial II-17.1 published by the Capital Markets Board in the Official Gazette dated 3 January 2014 and numbered 28871 ("Communiqué") , the conclusion part of the Board of Directors' Report prepared for comparison with market conditions of the transactions that were realized in 2023 between Akenerji Elektrik Üretim A.Ş. ("the Company") and its subsidiaries and their related parties as defined in Turkish Accounting Standards / Turkish Financial Reporting Standards ("TAS/TFRS"), that exceed the limit of 10% set out in the Communiqué, has been presented below

In accordance with Article 10 "Common and Continuous Transactions" of the Communique on Corporate Governance Serial II-17.1 published by the Capital Markets Board in the Official Gazette dated 3 January 2014 and numbered 28871, it has been determined that the common and continuous transactions between the Company and Sakarya Elektrik Perakende Satış A.Ş., which is defined as a related party in accordance with TAS/TFRS, in the accounting period of 2023 has reached more than 10% of the amount of revenue in the consolidated financial statements for the year ended 31 December 2023, which is the last annual financial statements disclosed to the public. On the other hand, it is not foreseen that the common and continuous transactions with a subsidiary of the Company, and/or related parties which are defined in accordance with TAS/TFRS, will reach the rates specified in the Communiqué in 2024. This statement has been prepared both in English and Turkish. In case of a discrepancy between the Turkish and the English versions of this disclosure statement, the Turkish version shall prevail.
