Şirketimiz Yönetim Kurulu tarafından, Kurumsal Yönetim Komitesi'nin, Sermaye Piyasası Kurulu'nun (Kurul) II-17.1 sayılı Kurumsal Yönetim Tebliği'nin eki Kurumsal Yönetim İlkeleri'nin 4.3.7 No.lu maddesi uyarınca hazırladığı bağımsız yönetim kurulu üye adayları hakkındaki 07.01.2025 tarihli raporu değerlendirilerek, Sn. Libor KUDLACEK ve Sn. Demet ÖZDEMİR'in yeniden bağımsız yönetim kurulu üyesi adayı olarak belirlenmesine karar verilmiş, bağımsız üye aday listesine yönelik görüş almak üzere Sermaye Piyasası Kurulu'na başvuruda bulunulmuştur.

Kurul tarafından, Sn. Libor KUDLACEK ve Sn. Demet ÖZDEMİR'in Kurumsal Yönetim İlkelerinin 4.3.6 No.lu maddesinde yer alan şartları taşıdıklarına ilişkin bağımsızlık beyanları ve özgeçmişleri dikkate alınarak, anılan yönetim kurulu bağımsız üye adayları hakkında herhangi bir olumsuz görüş bildirilmemesine karar verildiği Şirketimize bildirilmiştir. Bu kapsamda 2024 yılına ilişkin olağan genel kurul toplantısında, Sn. Libor KUDLACEK ve Sn. Demet ÖZDEMİR, bağımsız yönetim kurulu üyesi adayları olarak genel kurulun onayına sunulacaktır.

The report on the candidates for independent board members of the board of directors prepared by the Corporate Governance Committee on 07.01.2025 in accordance with the Article 4.3.7 of the Corporate Governance Principles annexed to the Corporate Governance Communiqué No. II-17.1 of the Capital Markets Board, was evaluated by our Company's Board of Directors and was decided to re-nominate Mr. Libor KUDLACEK and Ms. Demet ÖZDEMİR, as candidates for independent board members, and an application was made to the Capital Markets Board to obtain opinion on the list of independent member candidates.

Our Company has been informed by Capital Markets Board that it has been decided not to express any negative opinion about the aforementioned independent member candidates, taking into account that the independency statements of Mr. Libor KUDLACEK and Ms. Demet ÖZDEMİR, declaring that they meet the conditions set forth in Article 4.3.6 of the Corporate Governance Principles and their CVs.

Within this regard, at the ordinary general assembly meeting for the year of 2024, Mr. Libor KUDLACEK and Ms. Demet ÖZDEMİR will be submitted to the approval of the general assembly as candidates for independent members of the board of directors.

This statement has been prepared both in English and Turkish. In case of a discrepancy between the Turkish and the English versions of this disclosure statement, the Turkish version shall prevail.
