It has been resolved by the Board of Directors of Alarko Carrier Sanayi ve Ticaret A.Ş. to sell the 29,865 m² immovable property owned by our company, registered in the land registry in Istanbul Province, Tuzla District, Merkez Neighborhood, Block 0, Parcel 4723, designated as farmland, to Alarko Enerji A.Ş. for a price of TRY 895,000,000 (eight hundred ninety-five million Turkish Lira).

Alarko Enerji A.Ş., is a subsidiary of Alarko Holding A.Ş.

Following the sale of the aforementioned immovable property, there will no longer be any immovable properties or investments (also disclosed in the special case announcement dated April 20, 1998) in our company's assets to which Carrier HVACR Investments B.V. will not hold rights under the partnership agreement signed between Alarko Holding A.Ş. and Carrier HVACR Investments B.V.
