In line with the resolution adopted by our Company's Board of Directors on November 3, 2025, the immovable property classified as a "Factory Building and Land", located in Hacıbali Village, Yahşihan District, Kırıkkale Province, within the boundaries of the Organized Industrial Zone, has been transferred to Vakıf Katılım Bankası A.Ş. through a Sale and Leaseback transaction.
This transaction was executed under a Financial Leasing Agreement, which stipulates a one-year grace period, a four-year term, and an equal installment payment plan. The sale price of the immovable property has been determined as TRY 422,500,000 (Four Hundred Twenty-Two Million Five Hundred Thousand Turkish Lira). According to the payment schedule, the ownership of the property will be transferred back to our Company upon the payment of the final lease installment.
Furthermore, the Sale and Leaseback transaction has been evaluated within the framework of Article 15(f) of the Capital Markets Board's Communiqué on Material Transactions and Exit Rights (II-23.3). Based on this assessment, it has been concluded that the transaction does not constitute a case that gives rise to shareholders' exit rights. Therefore, no exit right has arisen for the shareholders of our Company in connection with this transaction.
