In accordance with the share transfer agreement dated 12.12.2025, to which our Company is a party together with the current shareholders of AKİ Güç ve Enerji Sistemleri Anonim Şirketi, namely Burkay Şeşeoğulları, Hasan Gürsakal, Zeynep Paksu, Ahmet Teyfik Paksu and Osman Nurettin Paksu, as well as Koyuncu Nakliye Pazarlama ve Ticaret Anonim Şirketi and İnavitas Enerji Yatırım Anonim Şirketi, 4,000 shares, each with a nominal value of TRY 19,000 (total nominal value: TRY 76,000,000) representing 40% of the share capital of AKİ Güç ve Enerji Sistemleri Anonim Şirketi ("AKİ"), a company registered with the Ankara Trade Registry under registration number 56358 with a share capital of TRY 190,000,000, have been acquired by our Company for a total consideration of USD 550,000.

Upon completion of the transaction, the shareholding structure of AKİ Güç ve Enerji Sistemleri Anonim Şirketi will be as follows: our Company 40%, Koyuncu Nakliye Pazarlama ve Ticaret Anonim Şirketi 40%, and İnavitas Enerji Yatırım Anonim Şirketi 20%.
