At the meeting of the Board of Directors held on May 22, 2024, it was unanimously decided to transfer the Arenapark Pınarbaşı Solar Power Plant (GES) to MALLSYSTEM TESİS YÖNETİM HİZMETLERİ A.Ş. for 220,000,000.00 TL + VAT, based on the Report dated May 22, 2024 prepared by İNVEST GAYRİMENKUL DEĞERLEME VE DANIŞMANLIK A.Ş., considering the definitive acceptance of the GES made by the Capital Markets Board in its letter dated December 8, 2023 and numbered 46367.

The said transaction does not meet the materiality criterion (the ratio of the book value of the asset subject to the transaction to the total assets  according to the Company's latest published financial statements being more than 75%) within the framework of Article 6 of the Communiqué on Material Transactions and Appraisal Right No. II-23.3.
