Pursuant to Article 20 of our Company's Articles of Association, the following authorizations have been granted to the Board of Directors: To issue debt instruments not exceeding 10,000,000,000 TL (ten billion Turkish Lira), with varying maturities up to a maximum of 5 (five) years, in Turkish Lira, in one or more installments, to be sold domestically to qualified investors without a public offering. To submit an application for debt instrument issuance to the Capital Markets Board. To authorize the Company's Management to carry out all necessary procedures, including the issuance of debt instruments to be issued, determining all conditions related to these issuances, including the amount, maturity, interest rate, and sales method, based on market conditions, determining distribution principles and allocations, completing the sales, and ensuring that they are listed on Borsa Istanbul A.Ş. To provide brokerage services from Marbaş Menkul Değerler A.Ş. regarding the issuance(s) of debt instruments. Within the scope of the issuances to be made under this decision, the General Directorate (Mr. Sertaç Taşyanar) has been authorized to prepare and sign applications, correspondence, contracts, and similar documents and information to be submitted to all official institutions and organizations, including, but not limited to, the Capital Markets Board, Borsa Istanbul Anonim Şirketi, Central Registry Agency, Istanbul Clearing and Custody Bank Inc., and the Public Disclosure Platform, without any numerical limitation, to monitor and complete this information and documents, and to execute and execute procedures and transactions with other relevant authorities and departments. It was decided by the Board of Directors' decision No. 2025/17 dated October 17, 2025.
