In the Material Event Disclosure made by our Company (" GEN ") on  18.08.2021, which was summarized as "New business relationship with Galventa AG" ( https://www.kap.org.tr/tr/Bildirim/959111 ), it was stated that commercial negotiations were continuing between GEN and Galventa AG or Galventa AG's existing licensees on sales and distribution by GEN through license or sublicense of the product which has been developed by Galventa AG for several regions including Turkey.

As of result of negotiations, effective from 11.04.2022, a Distribution Agreement (" Agreement ") has been signed between Galventa AG and GEN, which provides for sales and distribution rights of GEN concerning the product that has been developed by Galventa AG (" Product "). According to this Agreement, GEN will be the sole/exclusive seller/distributor in the Turkey, Turkish Republic of Northern Cyprus, Serbia, Montenegro, Bosnia-Herzegovina, Macedonia, Kosovo, Moldovia, Azerbaijan, Georgia, Ukraine, Uzbekistan, Thailand, Vietnam, Philippines, Russia, Belarus, Kazakhstan, Malaysia, Indonesia, Taiwan and Singapore.

Within the scope of the contract, it is envisaged to sell a minimum of 660,000 boxes in the above-mentioned countries, where GEN has sales and distribution rights, in the period between 2023- 2025. The contribution of the sales to be realized during the said period to the total sales of our Company is expected to be minimum 12,000,000 USD (twelve million US Dollars).

It is further evaluated that with this Agreement, our Company's product range abroad will expand and foreign sales revenues will be positively affected.
