Public Statement on Recent Media Reports Regarding Our Company – March 5, 2025

Our company has always adopted the principle of operating in compliance with legal regulations and works in harmony with the relevant authorities. Since the commencement of operations in April 2014, our Electricity Generation Plant has been continuously operating without interruption. The recent issue reported in the media is related to certain missing documents in the Workplace Opening and Operating License applications for our Electricity Generation Plant in Aliağa. Due to these deficiencies, the İzmir Metropolitan Municipality Council has notified us regarding the necessary preparations for the temporary closure of our Aliağa-based Electricity Generation Plant until the missing documents in the relevant license application are completed. The necessary procedures are being carried out promptly in coordination with the relevant authorities. During this process, we emphasize that production activities are not expected to be disrupted in any way.

Regarding the media reports on the Environmental Impact Assessment (EIA) report:

In our Special Situation Disclosure dated March 29, 2024, it was stated that with the Constitutional Court decision published in the Official Gazette dated March 27, 2024, and numbered 32502, it was ruled that a retrial would be conducted concerning the waste management aspect of our company's EIA report. It was learned by our Legal Department on January 30, 2025, that the İzmir 5th Administrative Court had ruled to annul the EIA report regarding the Industrial Waste Site; however, as of that date, the decision had not yet been officially communicated to us.

While legal procedures regarding the appeal process were under evaluation, and as part of risk management to take swift action against possible legal developments, a new EIA report application regarding the industrial waste site was promptly submitted on January 30, 2025, within the framework of the Ministry of Environment, Urbanization, and Climate Change's 2009/7 circular.

At the Board of Directors meeting dated January 30, 2025, and numbered 01, it was decided that:

As of January 30, 2025, the decision of the İzmir 5th Administrative Court regarding the annulment of the EIA report had not been officially communicated to our company,

Evaluations regarding the course of the appeal process were ongoing, and

At this stage, making a special situation disclosure regarding the annulment of the EIA report and/or the new EIA report application could create doubts and uncertainties in our company's relations with stakeholders, pose a risk of fluctuations in share value, and potentially result in investor grievances.


Considering these factors and to prevent any harm to the legitimate interests of our company and shareholders, it was decided to defer the public disclosure of insider information within the scope of Article 6 of the Capital Markets Board's II-15.1 Special Circumstances Communiqué until the uncertainties regarding the process were resolved.

At this stage, the reasons for postponing the disclosure of insider information have been eliminated, and as a result of the examination and evaluation carried out by the Ministry of Environment, Urbanization, and Climate Change, the EIA report has been removed from the public consultation phase, finalized, and has reached the decision stage. Further developments on the matter will be shared with the public.
