In the meeting of our Company's Board of Directors dated 04.06.2025 and numbered 10;

In accordance with Article 10 of the Capital Markets Board's Communiqué on Corporate Governance numbered II-17.1, the conclusion part of the report prepared regarding the conditions of the transactions and their comparison with market conditions for the widespread and continuous transactions of our company with related parties, which are expected to reach more than the 10% rate specified in the communiqué in the 2025 accounting period, is presented for your information below.

Within the scope of Article 10 of the Corporate Governance Communiqué numbered II-17.1, which was published in the Official Gazette numbered 28871 dated January 3, 2014 of the Capital Markets Board, electricity is sold to our company's partners İzmir Demir Çelik Sanayi A.Ş., Akdemir Çelik Sanayi ve Ticaret A.Ş. and İDÇ Liman İşletmeleri A.Ş. and to the related party Şahin Kömür Ticaret A.Ş. outside the partners. It is anticipated that the ratio of the said electricity sales amount to the revenue amount included in the last annual financial statements of İzdemir Enerji Elektrik Üretim A.Ş. disclosed to the public will exceed % 10 for 2025.

In this report, the conditions of the transactions made with İzmir Demir Çelik Sanayi A.Ş., Akdemir Çelik Sanayi ve Ticaret A.Ş., İDÇ Liman İşletmeleri A.Ş., Şahin Kömür Ticaret A.Ş., the price determination method and the reasons for choosing this method are explained and the transactions in question are evaluated and it is concluded that the electricity sales in question are carried out in accordance with the procedures and principles determined by the Energy Market Regulatory Authority and the electricity sales price is determined in accordance with market conditions.
