The statement dated October 23, 2025, submitted to our company by Mr. Ozen Kuzu, a shareholder of our controlling shareholder Kuzu Toplu Konut Inşaat A.S., is provided belo

As the shareholders of Kuzu Toplu Konut Inşaat A.S., pursuant to the share transfer agreement executed among us on October 23, 2025, it has been agreed that I will acquire the shares of Gokcen Kuzu amounting to TRY 1,483,000,000 (representing 33.33% of the capital) and the shares of Guven Kuzu amounting to TRY 1,483,000,000 (representing 33.33% of the capital) in Kuzu Toplu Konut Inşaat A.S.

As a result of the completion of the acquisition, I will indirectly become the 100% owner of the Privileged Group A shares of Kuzugrup Gayrimenkul Yatırım Ortaklıgı A.S. (Kuzugrup GYO). Accordingly, an application will be submitted to the Capital Markets Board of Turkiye for approval of the indirect transfer of the privileged shares.

The share transfer will be completed following the approval of the Capital Markets Board of Turkiye.

Upon the completion of the acquisition, since I will indirectly hold the shares providing management control in Kuzugrup GYO, an obligation to make a mandatory tender offer to purchase the shares held by the other shareholders will arise.

The mandatory tender offer price has been calculated as TRY 22.89, which corresponds to the arithmetic average of the daily adjusted weighted average stock exchange prices of Kuzugrup GYO shares during the six-month period preceding the date of this disclosure.

The public will be informed of any further developments.
