Additional Explanations

The Board of Directors of the Company convened at the Company Headquarter on 20.05.2024 and took the following decisions:

The Board of Directors of the Company has resolved as follows: According to our financial statements for the accounting period 01.01.2023 - 31.12.2023 prepared by our Company in accordance with the provisions of the Communiqué Serial: II-14.1 of the Capital Markets Board, our Company's net distributable profit for the period is 607.703.513 TL. According to the legal records, the total net distributable profit for the period is determined as 257.553.360 TL.

As a result of the discussions held by the Board of Directors; within the framework of the Company's dividend distribution policy and in accordance with the dividend distribution table prepared; the proposal for the distribution of gross 82.500.000,00 TL and net 74.250.000,00 TL of the net distributable profit calculated within the framework of the Turkish Commercial Code and the regulations and resolutions of the Capital Markets Board regarding dividend distribution; to be submitted to the approval of the General Assembly in accordance with the attached dividend distribution table; Within this framework;

a) To distribute gross 82.500.000,00 TL and net 74.250.000,00 TL as cash dividend to the shareholders, and to set aside 8.250.000,00 TL as second order reserve fund over the dividend distributed,

b) To set aside the remaining balances as extraordinary reserves,

c) Dividend distribution payment in four equal instalments of gross 20.625.000,00 TL on 26 June 2024, gross 20.625.000,00 TL on 20 August 2024, gross 20.625.000,00 TL on 24 October 2024 and gross 20.625.000,00 TL on 12 December 2024 to submit the issue of realisation of the payment to the approval of our shareholders at the General Assembly Meeting has been unanimously resolved.

For the payment dates specified in the resolution, the use of rights will be applied as 24 June 2024 for the 1st Instalment, 16 August 2024 for the 2nd Instalment, 22 October 2024 for the 3rd Instalment, and 10 December 2024 for the 4th Instalment.
