Pursuant to the resolution of the Board of Directors of our Company dated 21.11.2024, it has been resolved to issue bonds and/or financial bills, up to a total amount of 1.000.000.000 TL, in various tranches and maturities, in one or more times, to domestic qualified investors, in Turkish Lira, to be traded in the relevant market of Borsa İstanbul, without public offering, in accordance with the Capital Markets Legislation and Article 15 of the Articles of Association of our Company. It has been resolved to authorise Metin Barokas, the Chairman of the Board of Directors of our Company; to determine all conditions including the amount, maturity, interest rate, additional return rate, time of issuance and sales method regarding the issuance of bonds and/or financial bills, to make the necessary applications to Capital Markets Board ("SPK"), Borsa İstanbul A.Ş., Central Securities Depository ("Merkezi Kayıt Kuruluşu A.Ş."), Takasbank A.Ş. and other relevant authorities, to carry out all other transactions and to sign the contract and all kinds of documents on behalf of our Company. The application for Issue Limit has been made to Capital Markets Board as of 25.11.2024. The approval of our Company's application for debt securities issue limit of TL 1.000.000.000 was announced in the Capital Markets Board's Bulletin dated 09.01.2025 and numbered 2025/2. We submit for the information of shareholders and the public. In case of a discrepancy between the Turkish and English versions of this public disclosure statement, Turkish version shall prevail.
