In line with its goal of increasing investments in the field of renewable energy, Margün Enerji Üretim Sanayi ve Ticaret A.Ş. has, on October 27, 2025, signed an agreement between a Turkey-based company and our wholly owned subsidiary, Bosphorus Yenilenebilir Enerji A.Ş., for the acquisition of 9 Geothermal Resource Licenses located in the provinces of Denizli and Manisa, with a total potential installed capacity of 505 MWm.

Following this agreement, a project company will be established as a subsidiary, and the related investments will be carried out through this newly established company.

Upon completion of the investments and achievement of the potential capacity, the Geothermal Power Plants with a total installed capacity of five hundred and five megawatts mechanical (505 MWm) are expected to generate an annual gross production of approximately (3,863,250,000) kilowatt-hours (kWh). If these plants are commissioned (December 31, 2030), each plant will be entitled, under the Renewable Energy Law No. 5346, to sell the electricity generated for a period of fifteen (15) years at a tariff of (10.50) U.S. cents per kilowatt-hour (kWh) guaranteed by the state. From electricity generation alone, the plants are expected to generate approximately four hundred five million U.S. dollars (USD 405,000,000) — equivalent to sixteen billion nine hundred forty-six million two hundred ninety-three thousand five hundred Turkish lira (TRY 16,946,293,500) — in annual revenue, and approximately three hundred twenty-four million U.S. dollars (USD 324,000,000) — equivalent to thirteen billion five hundred fifty-seven million thirty-four thousand eight hundred Turkish lira (TRY 13,557,034,800) — in EBITDA.

Upon reaching the full potential capacity, the total investment cost of the power plants is expected to reach approximately one billion five hundred million U.S. dollars (USD 1,500,000,000).

In addition, within the scope of these investments, a structure will be established enabling the generation of additional revenues through the commercial use of separated carbon dioxide gas obtained from geothermal fluid, the extraction of valuable metals, the operation of greenhouse activities, and the recovery of minerals used in battery production.

Our Company, together with its subsidiaries, currently operates 92 solar, 2 geothermal, 4 hydroelectric, and 5 wind power plants, with a total installed capacity of 330.07 MWm.

Upon realization of the geothermal investments and achievement of the potential capacity, the total installed capacity of our Company and its subsidiaries is expected to increase by approximately 153%, reaching 835.07 MWm.

With this investment, our Company aims to become the largest company in Türkiye in terms of installed geothermal power capacity.
