In line with our Company's objective to increase its investments in the field of renewable energy, a contract was signed on 27.10.2025 between a company domiciled in Türkiye and our Company's wholly owned subsidiary, Bosphorus Yenilenebilir Enerji A.Ş., regarding the acquisition of 9 Geothermal Resource Licenses located in the Denizli and Manisa provinces with a total installed capacity potential of 505 MWm.

For the purpose of realizing these investments, a new company titled Margün Jeotermal Enerji Üretim A.Ş. was established with an initial capital of 100,000,000 TL, funded 82.50% by Bosphorus Yenilenebilir Enerji A.Ş., our Company's wholly owned subsidiary, and 17.50% by its affiliate, Naturel Holding A.Ş.

The transfer of 2 out of the 9 Geothermal Resource Licenses located in the Denizli and Manisa provinces, with a total installed capacity potential of 505 MWm, has been completed. The transfer processes for the remaining 7 licenses are ongoing before the relevant authorities, and further developments will be disclosed to the public.

Upon completion of the investments by the newly established company, an annual gross electricity generation of approximately 3,863,250,000 kWh is expected from the geothermal power plants. Excluding potential additional revenues, an annual total sales revenue of approximately USD 405,000,000 (TRY 16,946,293,500) and an EBITDA of approximately USD 324,000,000 (TRY 13,557,034,800) are anticipated solely from electricity generation.

This investment represents a significant step within Margün Enerji Üretim Sanayi ve Ticaret A.Ş.'s growth strategy in the geothermal energy sector, and further developments will be shared with the public.
