In line with our Company's objective to increase its investments in the renewable energy sector, an agreement was executed on 27.10.2025 between a company incorporated in Türkiye and Bosphorus Renewable Energy Inc., a wholly owned subsidiary of our Company, regarding the acquisition of 9 Geothermal Resource Licenses located in the provinces of Denizli and Manisa, with a total installed capacity potential of 505 MWm.

In order to realize these investments, a new company under the trade name Margün Geothermal Energy Generation Inc. was established with an initial capital of TRY 100,000,000, funded by Bosphorus Renewable Energy Inc., a 100% subsidiary of our Company holding an 82.50% stake in the new entity, and Naturel Holding Inc., holding the remaining 17.50% stake.

Out of the 9 Geothermal Resource Licenses with a total installed capacity potential of 505 MWm located in Denizli and Manisa, the transfer of 3 licenses has been completed. The transfers were finalized on 01.12.2025 for the first license, on 08.12.2025 for the second license, and today for the third license. The transfer procedures for the remaining 6 licenses are ongoing before the relevant authorities, and further information will be disclosed to the public as the process progresses.

Upon completion of the investments to be undertaken by the newly established company, annual gross electricity generation of approximately 3,863,250,000 kWh is expected from the geothermal power plants. Excluding potential additional revenues, an estimated annual total of approximately USD 405,000,000 (TRY 16,946,293,500) in electricity sales revenue and approximately USD 324,000,000 (TRY 13,557,034,800) in EBITDA are projected.

This investment represents a significant step within Margün Energy Production Industry and Trade Inc.'s growth strategy in the geothermal energy sector, and further developments will be shared with the public.
