Our company has purchased 100% of the shares of the Peker GmbH, established in Germany with a capital of 1,000,000 Euro, from its related parties Peker Holding GMBH and Goldstein Investment GMBH amount to 40.000.000 Euros. The value of these shares was determined as 41,428,662.61 Euro in the valuation report dated 23.06.2023 prepared by Konfident Steuerberatungsgesellscharft mBH company established in Germany.

Peker GmbH incorporates Northgate Dusseldorf project (https://www.pekergyo.com/en/projeler/northgate-dusseldorf/). The relevant project; is a project with a total gross construction area of 26.200 m2 in Düsseldorf, Germany. The project, which was developed on a land of 11,600 m2, has a total net usage area of 24.000 m2 (8.400 m2 hotel, 5.800 m2 boarding house, 1.800 m2 office, 8.000 m2 common use area). The 431-room hotel project, the construction of which started in 2019, was completed at the beginning of 2023. The relevant Hotel is one of the largest hotels in the city of Düsseldorf and has been leased to the Novum Hotels Group (https://www.novum-hotels.com/en/novum-hospitality) for 25+5 years. The hotel is operational, and the annual rental income from this project amounts to an average of 3.7 million Euros per year.
